Summary

A January 8 Commerce Ministry notice calls for company owners’ background checks and offers a 60-day window from January 10 to pay only the latest year’s penalty for missed annual reports. Non-compliance would lead to inactive-company classification.

To prevent money laundering and offences involving illegal funds, the Ministry of Commerce announced that it was beginning checks on the backgrounds or personal information of company owners in Cambodia. In a notice dated January 8, the ministry instructed company owners to participate in checks of natural persons’ backgrounds or personal information to help strengthen anti-money-laundering work.

Alongside this requirement, the ministry decided to waive penalties for companies that had failed to submit annual reports for each year, requiring them to pay only the latest year’s penalty within a 60-day period beginning on January 10, 2026. If a company failed to comply with the conditions and deadline above, the ministry would treat it as an “Inactive Company”, which could affect its registration and rights provided by law. The ministry also stressed that the policy would help improve Cambodia’s business environment and promote effective implementation of commercial law and business registration.
